Welcome to Clarus! The terms “we”, “us” and “our” refer to Originwell Ltd, trading as Clarus. Originwell Ltd operates this store and website, including all related information, content, features, tools, products, and services in order to provide you, the customer, with a curated shopping experience (the “Services”). Originwell Ltd is powered by Shopify, which enables us to provide the Services to you.
The below terms and conditions, together with any policies referenced herein (these “Terms of Service” or “Terms”) describe your rights and responsibilities when you use the Services.
Please read these Terms of Service carefully, as they include important information about your legal rights, including your rights under the Consumer Contracts Regulations 2013 and the Consumer Rights Act 2015.

1.3 Eligibility: By agreeing to these Terms of Service, you represent that you are at least the age of majority in the United Kingdom (18 years old).
1.4 Account Security: To use the Services, you may be asked to provide certain information, such as your email address, billing, payment, and shipping information. You are solely responsible for maintaining the security of your account credentials and for all of your account activity.
2. Our Products and Service Integrity
2.1 Product Representation: We have made every effort to provide an accurate representation of our products and services in our online stores. However, colours or product appearance may differ from how they may appear on your screen due to your device settings.
2.2 Statutory Rights (Consumer Rights Act 2015): We do not warrant that the appearance or quality of any products or services purchased by you will meet your specific, subjective expectations. However, nothing in these Terms affects your statutory rights that the products must be as described, fit for purpose, and of satisfactory quality.
2.3 Product Changes: All descriptions of products are subject to change at any time without notice at our sole discretion. We reserve the right to discontinue any product at any time and may limit the quantities of any products that we offer to any person, geographic region or jurisdiction, on a case-by-case basis.
3. Orders and Contract Formation
3.1 Offer and Acceptance: When you place an order, you are making an offer to purchase. Originwell Ltd reserves the right to accept or decline your offer for any reason at its discretion. Your order is not legally accepted, and a binding contract is not formed, until Originwell Ltd confirms acceptance by sending you a Dispatch Confirmation email. We must receive and process your payment before your order is accepted.
3.2 Order Review and Cancellation: Please review your order carefully before submitting, as Originwell Ltd may be unable to accommodate cancellation requests after an order is accepted and processed for dispatch.
3.3 Personal Use: You represent and warrant that your purchases are for your own personal or household use and not for commercial resale or export.
4. Prices and Billing
4.1 Pricing Policy (UK): The price charged for a product or service will be the price in effect at the time the order is placed and will be set out in your order confirmation email. All prices displayed are in Pounds Sterling (£) and are inclusive of Value Added Tax (VAT) (where applicable) at the current UK rate, unless otherwise expressly stated. Posted prices do not include shipping, handling, or customs charges, which will be calculated and added during checkout.
4.2 Pricing Errors: If we discover an error in the price of any product you have ordered, we will inform you as soon as possible and give you the option of reconfirming your order at the correct price or cancelling it.
4.3 Payment Information: You agree to provide current, complete and accurate purchase, payment and account information for all purchases made at our stores. You represent and warrant that (i) the payment information you provide is true, correct, and complete, and (ii) you are duly authorised to use such payment method for the purchase.
5. Shipping, Delivery, and Risk
5.1 Delivery Estimates: We are not liable for shipping and delivery delays. All delivery times are estimates only and are not guaranteed. We are not responsible for delays caused by shipping carriers, customs processing, or events outside our control.
5.2 Transfer of Risk: In accordance with UK consumer law, risk of loss or damage to the products passes to you when you, or a person indicated by you to take delivery, physically receive the products.
6. UK Consumer Right to Cancel (CCR 2013)
6.1 14-Day Right to Cancel (Cooling-Off Period): As a consumer in the UK, you have a statutory right to cancel a contract for the purchase of goods without giving any reason within 14 days from the day after you, or a person indicated by you, receives the products.
6.2 Exercising the Right: To exercise the right to cancel, you must inform us of your decision by a clear statement (e.g., an email to info@liveclarus.com).
6.3 Effect of Cancellation and Returns: If you cancel the contract within the 14-day cooling-off period, we will reimburse all payments received from you, including the costs of the least expensive standard delivery offered by us. You must send back the goods without undue delay and in any event no later than 14 days from the day on which you communicate your cancellation. You will have to bear the direct cost of returning the goods.
6.4 Exception to the Right of Cancellation (Hygiene/Supplements): Due to health protection and hygiene reasons, the right to cancel does not apply to goods which are liable to deteriorate or expire rapidly, or goods which were sealed for health protection or hygiene purposes and have been unsealed after delivery (which includes Clarus food/supplement products). We cannot accept returns or provide refunds on products that have been opened or consumed.
7. Intellectual Property
Our Services, including but not limited to all trademarks, brands, text, displays, images, graphics, product reviews, video, and audio, and the design, selection, and arrangement thereof, are owned by Originwell Ltd, its affiliates or licensors and are protected by UK and international copyright and other intellectual property laws.
These Terms permit you to use the Services for your personal, non-commercial use only. You must not reproduce, distribute, modify, or create derivative works of any of the material on the Services without our prior written consent.
Originwell Ltd’s (trading as Clarus) names, logos, product and service names, designs, and slogans are trademarks of Originwell Ltd or its affiliates or licensors. You must not use such trademarks without the prior written permission of Originwell Ltd.
8. Relationship with Shopify
Originwell Ltd is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our Store are made directly with Originwell Ltd. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and Originwell Ltd, including any injury, damage, or loss resulting from purchased products and services. You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with Originwell Ltd.
9. Clarus Subscription Terms and Conditions
9.1 Subscription and Minimum Term: If you subscribe to a Clarus product subscription ("Subscription"), you will choose a selected frequency period for the supply of Goods ("Minimum Term"). The Minimum Term will be automatically renewed at Originwell Ltd's then-current fee for such Subscription, unless you cancel your Subscription in accordance with the terms laid out below.
9.2 Cancellation Outside the Cooling-Off Period: Unless you cancel your Subscription within the statutory 14-day cooling-off period (as described in Section 6 above), you may only cancel your Subscription at any time after the initial Minimum Term and before your upcoming renewal date. You can do so by logging onto your account at www.liveclarus.com or the associated portal.
9.3 Pausing Your Subscription: You may pause your Subscription at any time from within your account settings. When you pause your billing, your Subscription will be placed 'on hold' indefinitely. You can reactivate this from within your account.
9.4 Billing and Dispatch: All Subscriptions are billed at your selected frequency. Goods included in your Subscription will be dispatched the next Working Day after your payment has been taken, unless otherwise stated.
9.5 Subscription Refunds: We do not offer refunds on products ordered on Subscription other than in accordance with your statutory Consumer cancellation rights as described in Section 6 above, specifically noting the hygiene exceptions in Section 6.4.
9.6 Automatic Renewal: Your Subscription will auto-renew and you will continue to be charged, on expiry of the Minimum Term until you choose to cancel or pause your Subscription. You will be billed on the date of each such renewal.
9.7 Maintaining Account Details: You are wholly responsible for maintaining the payment and delivery details associated with your Subscription as required to keep these accurate and up-to-date. We will not be liable for any failure to supply Goods as part of your Subscription due to your failure to maintain these details for us to continue charging and fulfilling Goods deliveries.
9.8 Termination or Suspension by Originwell Ltd: You agree that we may either terminate or suspend your Subscription for any reason at any time in our sole discretion.
9.9 Price Changes to Subscriptions: We reserve the right to make changes to the prices of Goods from time to time. Where such changes affect the price of your Subscription, we will give you reasonable notice of such changes in advance of any price change taking effect. If you do not wish to accept a price change or change to your Subscription, you may cancel your Subscription before the change takes effect via your account portal.
9.10 Subscription Issues: If, for any reason, you have an issue with Goods received within your Subscription, please contact us at info@liveclarus.com.
10. Privacy Policy
All personal information we collect through the Services is subject to our Privacy Policy, which can be viewed here [LINK], and certain personal information may be subject to Shopify’s Privacy Policy, which can be viewed here. By using the Services, you acknowledge that you have read these privacy policies.
11. Feedback
If you submit, upload, post, email, or otherwise transmit any ideas, suggestions, feedback, reviews, proposals, plans, or other content (collectively, “Feedback”), you grant us a perpetual, worldwide, sublicensable, royalty-free license to use, reproduce, modify, publish, distribute and display such Feedback in any medium for any purpose, including for commercial use. You are solely responsible for any Feedback you make and its accuracy.
12. Optional Tools and Third-Party Links
12.1 Optional Tools: You may be provided with access to customer tools offered by third parties as part of the Services, which we neither monitor nor have any control or input. We provide access to such tools “as is” and “as available” without any warranties, representations, or conditions.
12.2 Third-Party Links: The Services may contain materials and hyperlinks to websites provided or operated by third parties. We are not responsible for examining or evaluating the content or accuracy of any third-party materials or websites you choose to access. We are not liable for any harm or damages related to your access of any third-party websites, or your purchase or use of any products, services, resources, or content on any third-party websites.
13. Errors, Inaccuracies and Omissions
Occasionally there may be information on or in the Services that contain typographical errors, inaccuracies or omissions that may relate to product descriptions, pricing, promotions, offers, product shipping charges, transit times and availability. We reserve the right to correct any errors, inaccuracies or omissions, and to change or update information or cancel orders if any information is inaccurate at any time without prior notice (including after you have submitted your order).
14. Prohibited Uses
You may access and use the Services for lawful purposes only. You may not access or use the Services, directly or indirectly: (a) for any unlawful or malicious purpose; (b) to violate any UK, international, or local laws or ordinances; (c) to infringe upon or violate our intellectual property rights or the intellectual property rights of others; (d) to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or harm any of our employees or any other person; or (e) to transmit false or misleading information.
15. Termination
We may terminate this agreement or your access to the Services (or any part thereof) in our sole discretion at any time without notice, and you will remain liable for all amounts due up to and including the date of termination. The following sections will continue to apply following any termination: Intellectual Property, Feedback, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver; Entire Agreement, Assignment, and Governing Law.
16. Disclaimer of Warranties and Statutory Rights
The information presented on or through the Services is made available solely for general information purposes. We do not warrant the accuracy, completeness, or usefulness of this information.
Except as expressly stated by Originwell Ltd, the Services are provided 'as is' and 'as available' for your use, without any representation, warranties or conditions of any kind. We are legally required to state that nothing in this clause or these Terms excludes or limits your statutory rights under the Consumer Rights Act 2015, including the right to goods that are as described, fit for purpose, and of satisfactory quality.
17. Limitation of Liability
17.1 Statutory Rights: Nothing in these Terms excludes or limits our liability for:
- Death or personal injury caused by our negligence.
- Fraud or fraudulent misrepresentation.
- Any breach of the terms implied by the Consumer Rights Act 2015.
- Any matter for which it would be illegal for us to exclude or attempt to exclude our liability.
17.2 General Liability: To the extent permitted by law, in no case shall Originwell Ltd, our partners, directors, officers, employees, affiliates, agents, contractors, service providers or licensors, or those of Shopify and its affiliates, be liable for any indirect or consequential damages of any kind, including, without limitation, lost profits, lost revenue, lost savings, loss of data, or replacement costs, arising from your use of any of the Services or any products procured using the Services.
18. Indemnification
You agree to indemnify, defend and hold harmless Originwell Ltd, Shopify, and our affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers from any losses, damages, liabilities or claims, including reasonable attorneys’ fees, payable to any third party due to or arising out of (1) your breach of these Terms of Service or the documents they incorporate by reference, or (2) your violation of any law or the rights of a third party.
19. General Legal Provisions
19.1 Severability: In the event that any provision of these Terms of Service is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service, such determination shall not affect the validity and enforceability of any other remaining provisions.
19.2 Waiver; Entire Agreement: The failure of us to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision. These Terms of Service constitute the entire agreement between you and us.
19.3 Assignment: You may not delegate, transfer or assign this Agreement or any of your rights or obligations under these Terms without our prior written consent.
19.4 Governing Law and Jurisdiction: These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of England and Wales. You and Originwell Ltd agree that the courts of England and Wales will have exclusive jurisdiction over any claim arising from, or related to, a purchase of products.
20. Changes to Terms of Service
We reserve the right, in our sole discretion, to update, change, or replace any part of these Terms of Service by posting updates and changes to our website. It is your responsibility to check our website periodically for changes. Your continued use of or access to the Services following the posting of any changes to these Terms of Service constitutes acceptance of those changes.
